1 Scope & Acceptance of Terms
These Terms and Conditions constitute a legally binding agreement between you (“User”, “Merchant”, or “Consignor”) and CodeSpace Courier Booking & Logistics Management governing your access to and use of our booking CRM application, reporting modules, customer ledger accounting systems, and rate quotation utilities.
By logging into an account, generating a shipment tracking label, printing daily manifests, or maintaining a customer balance ledger, you agree to adhere unconditionally to these Terms.
2 User Account & Access Controls
Account Credential Protection: You are responsible for preserving the confidentiality of your username, password, and session access. Any booking made or payment ledger recorded using your credentials shall be deemed authorized by your enterprise.
Accurate Enterprise Profiles: You must supply authentic enterprise details, including valid GSTIN, business legal names, operating contact phone numbers, and physical office addresses for invoicing and tax billing generation.
Subscription & Renewal: Active software usage depends on maintaining a valid subscription plan. Notification reminders are displayed prior to expiration to prevent disruption of booking workflows.
3 Consignment Booking & Package Guidelines
All consignments booked on the platform must conform to domestic transit standards and courier carrier regulations:
Strictly Prohibited Articles
Narcotics, explosive items, corrosive chemicals, hazardous flammable substances, unlicensed arms/ammunition, counterfeit goods, currency notes, and all materials contraband under applicable state and federal laws are strictly barred from booking.
- Packaging Integrity: The consignor is exclusively responsible for ensuring safe packaging suitable to endure transit handling.
- Address Completeness: Consignment labels must accurately display the recipient name, full address, landmark, valid destination pincode, and active mobile number.
4 Tariffs, Weight & Freight Calculations
Charges are computed based on assigned rate lists configured in the system for specific customer accounts and delivery zones:
- Chargeable Weight: Freight charges are assessed against the higher of the actual dead weight or volumetric weight as defined by standard industry volumetric formula.
- Weight Discrepancies: If carrier weighing scales detect a discrepancy exceeding declared booking weight, the billed invoice will automatically adjust to reflect the audited chargeable weight.
- Surcharges & Fuel: Surcharges (ODA, fuel, handling) apply as agreed within customer rate contracts.
5 Invoicing, Ledgers & Payment Settlement
Ledger Running Balance: Customer ledgers log every booking debit charge alongside payment credit receipts. The closing balance represents the total unsettled liability.
Invoicing Cycles: Billing invoices can be generated daily, weekly, or monthly. Invoices printed or exported from this software serve as commercial payment statements.
Payment Recording: All payments entered into the platform (Cash, Cheque, Online UPI, NEFT/RTGS) must include valid transaction identifiers and receipts for audit validation.
6 Delivery Run Sheets (DRS) & Proof of Delivery
Delivery Run Sheets (DRS) generated through the system assign consignments to delivery riders. Successful parcel handovers must be verified through physical recipient signatures on carrier sheets or digital delivery scan confirmation. Undelivered packages must be reconciled as RTO (Return to Origin) with recorded delivery failure remarks.
7 Limitation of Liability
Software Availability: While we endeavor to maintain 99.9% uptime, we are not liable for transient network disruptions, cloud hosting downtime, or localized carrier API downtime.
Transit Loss or Damage: Physical shipment losses, theft in transit, or delivery delays are governed exclusively by the designated courier carrier’s standard consignment liability policies and transit insurance coverage.
Force Majeure: Neither party is liable for failure to deliver services during events of natural disasters, strikes, civil unrest, or statutory government lockdowns.
8 Governing Law & Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the substantive laws of India. Any legal dispute, arbitration, or commercial claim arising under these terms shall be subject to the exclusive jurisdiction of the competent courts having local territorial jurisdiction over the primary operating enterprise location.
